These Terms & Conditions (“Terms”) govern your access to and use of the MAXX AI websites, software, CRM systems, APIs, AI agents, automation tools, applications, communication systems, cloud infrastructure, and related services provided through MAXX AI and Sentium AI platforms (collectively, the “Services”).
By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. Eligibility and Authorized Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. MAXX AI Services are intended primarily for business, commercial, and professional use. Users are responsible for ensuring that their use of the Services complies with all applicable laws, regulations, and industry requirements within their jurisdiction.
2. Account Registration and Access
Certain features of the Services may require registration or account creation. Users agree to provide accurate and complete information, maintain updated account information, and protect account credentials and login access. Users are solely responsible for all activities conducted under their accounts and for maintaining the confidentiality of their credentials. MAXX AI reserves the right to suspend, restrict, or terminate accounts where fraudulent activity, misuse, abusive behavior, suspicious activity, security risks, or violations of these Terms are identified.
3. License and Permitted Use
Subject to compliance with these Terms, MAXX AI grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful internal business purposes only. Users may not copy, reproduce, modify, distribute, reverse engineer, interfere with infrastructure, circumvent security systems, or unlawfully exploit the Services in any manner. All intellectual property rights, software, systems, branding, workflows, AI models, designs, and related materials remain the exclusive property of MAXX AI, Sentium AI, or affiliated licensors.
4. User Content and Platform Data
Users may upload, submit, generate, or process content through the Services, including prompts, CRM records, lead data, files, communications, workflow configurations, and automation activities (“User Content”). Users retain ownership of their User Content; however, users grant MAXX AI a limited, worldwide, non-exclusive license to process, host, store, transmit, analyze, and use such content solely for the purposes of operating, improving, securing, and maintaining the Services. Users represent and warrant that they possess all necessary rights and permissions required to upload and process such content through the Services.
5. AI Services and Automation Disclaimer
MAXX AI utilizes artificial intelligence, machine learning systems, automation workflows, predictive systems, and natural language processing technologies. Users acknowledge and agree that AI-generated outputs may contain inaccuracies, omissions, incomplete information, or unintended results. Automated workflows may occasionally fail, delay, or behave unexpectedly, and AI-generated content should not be relied upon as legal, financial, medical, investment, compliance, or professional advice. Human review, oversight, and verification remain the sole responsibility of the user. MAXX AI does not guarantee business results, lead conversions, revenue generation, sales performance, operational outcomes, or the accuracy of AI-generated outputs.
6. CRM, Lead Generation, and Communication Services
MAXX AI may provide CRM functionality, lead management tools, communication workflows, automation systems, AI agents, and related services. Users acknowledge that lead quality, communication delivery, engagement rates, and automation results may vary depending on third-party platforms, external systems, and operational factors outside MAXX AI’s control. MAXX AI does not guarantee specific marketing, sales, or business outcomes. Users are solely responsible for ensuring that all communications and campaigns comply with applicable marketing, privacy, anti-spam, and consumer protection laws.
7. Third-Party Services and Integrations
The Services may integrate with third-party platforms, payment processors, communication systems, infrastructure providers, analytics tools, CRM systems, and external software services. MAXX AI is not responsible for third-party outages, API limitations, service failures, platform restrictions, external policy changes, or third-party data handling practices. Users acknowledge that use of third-party integrations may also be governed by separate third-party terms and privacy policies.
8. Payments, Billing, Subscriptions, and Credits
Certain Services may require subscription payments, onboarding fees, usage-based billing, AI processing credits, enterprise activation packages, or premium infrastructure access. Unless otherwise agreed in writing, payments are non-refundable, credits may expire, and subscription pricing may change without notice. Failure to maintain payment obligations may result in suspension, restriction, or termination of Services. Users are responsible for maintaining valid payment information and ensuring timely payment of all applicable fees.
9. Security and Platform Integrity
MAXX AI implements commercially reasonable safeguards intended to maintain platform security and protect user information. However, no online platform or infrastructure system can guarantee absolute security. Users are responsible for protecting account credentials, maintaining device security, and restricting unauthorized access to their systems or accounts. MAXX AI shall not be liable for unauthorized access resulting from credential sharing, phishing attacks, weak passwords, user negligence, or third-party security breaches.
10. Acceptable Use and Prohibited Activities
Users may not use the Services unlawfully or in ways that interfere with platform operations, security, or other users. Prohibited activities include submitting harmful, abusive, fraudulent, deceptive, or malicious content; attempting unauthorized system access; distributing malware; engaging in spam or harassment; or using the Services to violate third-party rights or applicable laws. MAXX AI reserves the right to investigate suspected violations and take appropriate action, including suspension, termination, legal enforcement, or reporting to authorities.
11. Service Availability and Modifications
MAXX AI does not guarantee uninterrupted, secure, or error-free operation of the Services. Temporary interruptions may occur due to maintenance, infrastructure updates, third-party outages, security incidents, operational changes, or platform upgrades. MAXX AI reserves the right to modify, suspend, limit, or discontinue any aspect of the Services at any time without liability.
12. Limitation of Liability
To the maximum extent permitted by law, MAXX AI, Sentium AI, affiliates, employees, contractors, licensors, and partners shall not be liable for AI inaccuracies, communication failures, business interruption, lost profits, data loss, security incidents, third-party service interruptions, loss of leads, unauthorized access, or any indirect, incidental, or consequential damages arising from use of the Services. Use of the Services is entirely at the user’s own risk.
13. Limitation of Liability
Users agree to defend, indemnify, and hold harmless MAXX AI, Sentium AI, affiliates, employees, contractors, licensors, and partners from and against any claims, damages, liabilities, losses, costs, or expenses arising from use of the Services, violation of these Terms, User Content submitted through the platform, or violation of applicable laws or third-party rights.
14. Termination
MAXX AI may suspend, restrict, or terminate access to the Services at its sole discretion where violations of these Terms, fraudulent activity, security concerns, payment failures, abuse, or misuse of the Services are identified. Upon termination, users must immediately discontinue use of the Services, and all access rights granted under these Terms shall cease.
15. Governing Law
These Terms shall be governed and interpreted in accordance with applicable laws relevant to the operation of MAXX AI and Sentium AI Services. Any disputes arising in connection with the Services shall be subject to the applicable jurisdiction determined by MAXX AI.
16. Updates to These Terms
MAXX AI may update or modify these Terms periodically. Updated versions will be published through the Services with a revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
